1. Agreement to Terms

By accessing or using Momenta ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

These Terms form a legally binding agreement between you and Momenta. Please read them carefully.

2. Description of Service

Momenta is a web-based Home Operating System that helps homeowners:

• Add and manage property details and use property data to power features such as equity and tax appeals.
• Track evidence tasks, completions, and home-related expenses; store and organize documents (e.g. warranties, insurance policies, receipts) in Vaults and chat with them using AI.
• Pursue property tax appeals with tools for evidence, comparables, and deadlines; extract and store insurance policy information from PDFs you upload.
• View equity and LTV estimates and run simulations based on information you provide (we do not connect to your bank or lender).
• Get personalized intelligence, DIY project guidance, and answers to home-related questions in the app and, if you opt in, via our Telegram bot.
• Build a Property Passport and use Resources to create a verified home record.

The Service does not connect to your bank accounts, credit cards, or financial institutions. We do not use Plaid or any financial data aggregators. Any mortgage or financial numbers used for equity or simulations are those you choose to enter.

4. User Accounts

4.1 Account Creation

To use the Service you must sign in with Google. You agree to provide accurate information, keep it current, maintain the security of your credentials, and accept responsibility for all activity under your account.

4.2 Account Termination

You may delete your account at any time from Profile settings. We will permanently delete your account and associated data as described in our Privacy Policy. We may suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. User Content and Data

You retain ownership of the content and data you provide. By using the Service you grant us a license to use, store, and process that data to provide and improve the Service. You are responsible for the accuracy of the information you provide. We are not responsible for errors in your data or consequences of relying on it.

6. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws.
• Attempt to gain unauthorized access to the Service or its systems.
• Interfere with or disrupt the Service or others' use of it.
• Use automated systems to access the Service without our permission.
• Reverse engineer, decompile, or disassemble the Service.
• Share your account credentials or use the Service to transmit malware or harmful code.

7. Intellectual Property

The Service and its content, features, and functionality are owned by Momenta and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Disclaimers and Limitation of Liability

8.1 Service Availability

The Service is provided "as is" and "as available." We do not guarantee that it will be uninterrupted, secure, or error-free.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENTA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months before the claim, or $100, whichever is greater.

8.3 Decisions

You are solely responsible for your decisions. Momenta is not liable for any losses or consequences resulting from your use of the Service or any information provided through it.

9. Indemnification

You agree to indemnify, defend, and hold harmless Momenta and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third party rights.

10. Third-Party Services

The Service uses third-party services such as Google (Firebase), OpenAI, Attom, Tavily, Telegram, and hosting providers. Your use of the Service may involve these third parties; their terms and privacy policies apply to their services. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms on the Service and update the "Last Updated" date. Your continued use after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the federal or state courts located in Delaware, and you consent to personal jurisdiction there.

13. Severability

If any provision of these Terms is held unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
